Please read these Terms of Use ("Terms") carefully before using the website or services operated by Lemurian Labs, Inc. ("Lemurian Labs," "we," "us," or "our"). By accessing or using our website at lemurianlabs.com, our customer support portal at support.lemurianlabs.com, or any of our SaaS products or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

If you are accessing the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

1. Acceptance of Terms

By accessing or using the Services in any way, including browsing the website, registering for an account, or submitting a support request, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, available at lemurianlabs.com/privacy. These Terms constitute a legally binding agreement between you and Lemurian Labs.

2. Description of Services

Lemurian Labs provides a cloud-based SaaS platform and related services to business customers. The specific features, functionality, and terms of paid access to the Services are governed by a separate Master Subscription Agreement ("MSA") or Order Form entered into between Lemurian Labs and the applicable customer. In the event of any conflict between these Terms and a signed MSA, the MSA controls.

3. Eligibility

The Services are intended solely for use by businesses and their authorized representatives. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Services. The Services are not directed at or intended for use by individuals under the age of 18.

4. Account Registration and Security

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Lemurian Labs immediately at privacy@lemurianlabs.com if you become aware of any unauthorized access to or use of your account.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable federal, state, local, or international laws or regulations
  • Attempt to gain unauthorized access to any part of the Services, or to any systems or networks connected to the Services
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
  • Transmit any viruses, malware, or other harmful or malicious code through the Services
  • Use any automated means, including bots, scrapers, or crawlers, to access or collect data from the Services
  • Resell, sublicense, or otherwise make the Services available to third parties without Lemurian Labs' prior written consent
  • Use the Services to transmit any content that is defamatory, harassing, discriminatory, or infringing of any third party's intellectual property rights
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein

Lemurian Labs reserves the right to suspend or terminate access to the Services for any user who violates these acceptable use provisions.

6. Intellectual Property

The Services, including all software, content, features, functionality, logos, trademarks, and other materials made available through the Services, are owned by Lemurian Labs or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Services or any related intellectual property except for the limited right to access and use the Services as expressly set forth herein.

You retain ownership of any data or content you submit to the Services. By submitting content, you grant Lemurian Labs a limited license to use such content solely as necessary to provide the Services to you, in accordance with our Privacy Policy.

7. Third-Party Links and Services

The Services may contain links to third-party websites or services that are not owned or controlled by Lemurian Labs. Lemurian Labs has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit.

8. Privacy

Your use of the Services is subject to our Privacy Policy, available at lemurianlabs.com/privacy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LEMURIAN LABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. NO INFORMATION OR ADVICE OBTAINED FROM LEMURIAN LABS OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEMURIAN LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, EVEN IF LEMURIAN LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL LEMURIAN LABS' AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO LEMURIAN LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lemurian Labs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Modifications to the Services and Terms

Lemurian Labs reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice. Lemurian Labs also reserves the right to update these Terms at any time. We will notify you of material changes by posting an updated version at lemurianlabs.com/terms-of-use and updating the "Last Updated" date above. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the Court of Chancery of the State of Delaware, or if such court does not have jurisdiction, in the United States District Court for the District of Delaware. You hereby consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any applicable MSA or Order Form, constitute the entire agreement between you and Lemurian Labs with respect to your use of the Services and supersede all prior agreements, understandings, and representations relating to the subject matter hereof.
